Founding Member Brief

This brief must be read in full before the Expression of Interest questionnaire may be accessed. It sets out the proposed institutional model, the governance concept and the indicative seed corpus concept, together with what remains undecided.

What is a Section 8 Company?

A Section 8 company is a body incorporated under Section 8 of the Companies Act, 2013 for the promotion of objects such as education, research, science, art, social welfare or charity. It is a company in law, with directors, statutory audit and filings, but its constitution differs in one decisive respect.

Its profits and income must be applied solely towards its stated objects. No dividend may be paid to its members. On winding up, its assets cannot be distributed to members and must pass to another institution with similar objects. It therefore combines the discipline and transparency of a company with the permanence and public-purpose character of a charitable institution.

For an undertaking intended to last generations, this form matters: it makes private enrichment structurally impossible while retaining professional governance.

Why an independent institution is proposed

The Dream Educational City is conceived as public-purpose infrastructure. It cannot credibly be advanced by a consultancy, a commercial developer or an individual promoter, because each carries an interest that a public institution must not have.

An independent Section 8 institution can hold the concept in its own right, take its own decisions, engage government on an institutional footing, receive and steward funds transparently, and continue irrespective of the fortunes or intentions of those who began it.

The institution has not been established. Nothing described in this brief exists yet.

Why ANCONS will provide only consulting and advisory services

ANCONS International Foundation initiated the concept and has developed it to its present stage. It intends to continue in a professional advisory capacity only — as Initiator, Strategic Advisor, Institutional Development Consultant, Public–Private Partnership Advisor and Master Planning Consultant.

ANCONS will not own, govern or operate the future institution. It seeks no shareholding, no permanent seat and no control. Any professional engagement between the future institution and ANCONS would be decided by that institution's own board, on its own terms, and it is under no obligation to appoint ANCONS at all.

ANCONS claims no government approval, allotment of land, partnership or endorsement at this stage.

The proposed governance concept

The governance concept below is indicative. It is offered as a starting point for discussion, not as a settled structure.

  • A board of directors drawn from founding members and independent persons of standing, with a majority independent of any commercial interest in the project.
  • Clear separation between governance, executive management and professional advisors.
  • Committees for finance and audit, academic direction, and infrastructure and planning.
  • Published annual accounts, statutory audit and a stated conflict-of-interest policy.
  • Constitutional protection of the institution's non-commercial character and its educational objects.
  • Defined terms of office, so that no individual or family holds indefinite control.

The founders will determine the final governance structure, including board composition, reserved matters and the manner in which independence is secured.

The proposed seed corpus concept

An institution of this kind requires working capital before it can undertake anything of substance. The seed corpus concept refers to an initial pool of funds, contributed at the founding stage, that allows the institution to be incorporated and to operate professionally during its first phase.

No amount is proposed in this brief, no contribution is being solicited, and no respondent is asked to indicate a figure. The Expression of Interest questionnaire records interest in discussion only.

Intended use of the initial corpus

An initial corpus would be expected to support activities such as the following. These items are indicative and are not final.

  • Legal incorporation of the institution
  • Establishment of a temporary office
  • Initial staffing
  • Administration and compliance
  • Feasibility studies
  • Master planning
  • Statutory and regulatory processes
  • Professional consultancy
  • Stakeholder engagement
  • Early project development

The future founders will determine the final financial model, including the size, structure, phasing, custody and permitted application of any corpus, together with the reporting standards that govern it.
